H. The: ';Provisions of this Agreement are severable. If any paragraph, section, s~ubci!vision, sentence, clause or phrase of this Agreement is for any reason held to ~ c~ntrary to law, such decision shall not affect the remaining portion of this Agreement. ~. The Municipality shall acknowledge the financial assistance of the County on all Pr~Dmo. lional materials, reports and publications relating to the activities funded under this Agreement, by including the following acknowledgement: "Funded by the Anoka County Board iO{ COmmissioners and State SCORE funds (Select Committee on Recycling and the Environment). IND~EMNI.FIC~ATION. The County agrees to indemnify, defend, and hold the Municipality harmie~ fro~ all claims, demands, and causes of action of any kind or character, including the cost ¢)f defense thereof, resulting from the acts or omissions of its public officials officers agents, emplbyees, and contractors relating to activities pedormed by the County under this Agreement. ~ The Mu~cipa, lity agrees to indemnify, defend, and hold the County harmless from all claims, demandS, aricl causes of action of any kind or character, including the cost of defense thereof, fesUl!ing from the acts or omissions of its public officials, officers, agents, employees, and con~raCt~rs relating to activities performed by the Municipality under this Agreement. The pr°visiods of this subdivision shall survive the termination or expiration of the term of this Agreement. ? TERMINATION. This Agreement may be terminated by mutual written agreement of the partie~ b{,- by': ~ither party, with or without cause, by giving not tess than seven (7) days written notice, ¢l~live~ed by mail or in person to the other party, specifying the date of termination. If this Ag~ern~nt is terminated, assets acquired in whole or in part with funds provided under this Agt~eeme~ shall be the property of the Municipality so long as said assets are used by the Muni~ipalEy for the purpose of a landfill abatement program approved by the County. -4-
