The County agrees to indemnify, defend, and hold the Municipality ha~ml~S f~m all claims, demands, and causes of action of any kind or character, including the (3(3~ of!c~efense thereof, resulting from the acts or omissions of its public officials, officers, agerl~,~eml~loyees, and contractors relating to activities pedormed by the County under this Agree~ent.~ The M~niciP; ality agrees to indemnify, defend, and hold the County harmless from all claims, dema'll~S, ~tnd causes of action of any kind or character, including the cost of defense there°fireSdJrlting from the acts or omissions of its public officials, officers, agents, employees, and d°~tra~ors relating to activities performed by the Municipality under this Agreement. The prc~vistd~ns of this subdivision shall survive the termination or expiration of the term of this Agre¢4ent.': TERMInATiON. This Agreement may be terminated by mutual written agreement of the parties Dr b~' e~ther party, with or without cause, by giving not less than seven (7) days written notice, ~eli~ered by mail or in person to the other party, specifying the date of termination. II t:hlS,A~re~ment is terminated, assets acquired in whole or in part with tunds provided under this Ag~een~ent shal be the property of the Municipality so long as said assets are used by the M'u.~ici~ality for the purpose of a landfill abatement program approved by the County.
