and that it is ZAYO's, and that of ZAYO's.subcontractors, sole obligation to comply with the applicable provisions of all federal and state tax laws. 25.8 No Third -Party Rights. Nothing in this Agreement is intended to provide any legal rights to anyone not an executing Party of this Agreement except under the indemnification and insurance provisions. 25.9 Severability. If any section, subsection, sentence, clause, phrase, or other portion of this Agreement is, for any reason, declared invalid, in whole or in part, by any court, agency, commission, legislative body, or other authority of competent jurisdiction, such portion shall be deemed a separate, distinct, and independent portion. Such declaration shall not affect the validity of the remaining portions hereof, which other portions shall continue in full force and effect. 25.10 Remedies. Unless otherwise expressly limited or excluded herein, all remedies provided in this Agreement are cumulative and non-exclusive, and are in addition to all other remedies available at law or inequity, including without limitation any actions for damages. 25.11 Counterparts. This Agreement may be executed in one or more counterparts, all of which taken together shall constitute one and the same instrument. 25.12 Audit Disclosure and Retention of Records. ZAYO agrees to make available to duly authorized representatives of the County and of the State of Minnesota, for the purpose of audit examination pursuant to Minnesota Statutes, Section 16B.06, any books, documents, papers, and records of ZAYO that are pertinent to ZAYO's provision of services under this Agreement. ZAYO further agrees to maintain all such required records for three (3) years after receipt of final payment and the closing of all other related matters. 25.13 Affirmative Action.
