"MU Charge" is defined in Section 4.2. <br />"Lateral Connection"' shall mean one or more Cables, or Duct(s) owned by ZAYO or a <br />third Person that contain County Dark Fibers within the ZAYO System. <br />"Manhole" shall mean a below ground level enclosure entered through a hole on the <br />surface covered with a cast iron, cast aluminum, steel or concrete manhole cover, which <br />personnel may enter and use for the purpose of installing, operating and maintaining facilities <br />associated with a fiber optic communications system. As used in this Agreement, the term <br />"Manhole" refers only to manhole structures owned by ZAYO and located on the System Route <br />and does not include Cable or other telecommunications equipment and facilities of ZAYO or <br />any. other Person located within such manhole structures. <br />"MSA" is defined in Section 2.1. <br />"Notice of Completion" shall have the definition set forth in Section 7.1. <br />"Party" shall mean each of ZAYO and County and "Parties" shall mean ZAYO and <br />County. <br />"Permits" mean each of and collectively, all laws, statutes, codes, orders, rules, <br />regulations grants, authorizations, consents, approvals, permits, licenses and any other <br />authorizations, other than Underlying Rights, of third Persons with respect to (i) the <br />construction, installation, repair, maintenance, operation or use of tangible or intangible property, <br />as the case may be, (ii) the provision of a service or performance of an act or (iii) any <br />requirement by a governmental authority for the engagement in a.business or enterprise, to the <br />extent any of (i), (ii) or (iii) foregoing are applicable to the performance of obligations or <br />exercise of rights by either Party under this Agreement. <br />"Permitted Use" is defined in Section 2.3. <br />"Person" shall mean any individual, corporation, partnership, limited liability company, <br />joint venture, association, joint-stock company, trust, unincorporated organization, government <br />or any agency or political subdivision thereof or any other entity: <br />"Point -to -Point" shall mean a contiguous assembly of the ZAYO System that starts and <br />ends at different locations as generally identified in each individual Service Order, as applicable. <br />"Pro Rata" shall mean such proportionate share being measured as the number of County <br />Dark Fibers relative to the total number of fibers on a Segment. <br />"Project" is defined in Section 2.1. <br />"Renewal Term" is defined in Section 5.1. <br />"Ring" shall mean a contiguous assembly of the ZAYO System that starts and ends at the <br />same location asgenerally identified in each individual Service Order, as applicable. <br />s <br />Anoka.
