b) Order Of Dismissal Regarding Prestressed Concrete, Inc. vs. First
National Bank Of Minneapolis, et al -

Mr. Goodrich stated that First National Bank of Minneapolis called upon the
letter of credit from First National Bank of Anoka; the matter did not go to
court; Ramsey only served as a conduit in the sale of the industrial bonds and
has never had any exposure and is absolutely protected.

c)

Letter From Mr. Edward Moersfelder, Attorney, Regarding Real Estates
Purchase And Sale Agreement Between The City Of Ramsey And Waste
Management -

City Attorney Goodrich stated that Waste Management wants to purchase the
existing landfill site even though the City has denied the request for a
conditional use permit. Mr. Goodrich said that the significance of this is
that the City will receive one-half the amount being held in escrow by the
City of Anoka (amounting to approximately $300,000) in addition to $150,000 at
the time of the closing; totalling approximately $450,000 for the City of
Ramsey. ~his means that Ramsey will be selling it's interest in the existing
site and that south 80 acres which presently belongs to Anoka. This sale will
also settle the pending lawsuit with the City of Anoka.

Councilmember Schlueter inquired as to Anoka's position in this sale.

Mr. Goodrich replied that Anoka's settlement is the same as Ramsey's. Mr.
Goodrich also noted that Ramsey will also receive 10% of the gross from the
existing site and if methane should become a viable product, Ramsey and Anoka
will receive 3% each and the County 9%.

Reporter Angela Flint arrived at 8:09 p.m.

~se #4:

Engin~rin~ (A.
