Closure of Anoka Landfill Facility. WMMI specifically <br />agrees that effective December 31, 1993, the Facility as <br />it is presently licensed by Anoka County and the <br />Minnesota Pollution Control Agency and permitted by the <br />CUP for landfill operations will be permanently closed <br />and the Facility will then no longer accept for final <br />land disposal waste of any type from any source. WMMI <br />affirms that neither it nor any parent or affiliate <br />company is presently seeking a permit to expand or <br />continue the Facility or to open and operate a new <br />landfill for final land disposal of waste of any type <br />within the corporate limits of the City. In addition, <br />all other uses of the Facility by WMMI, such as the <br /> <br />operation of a waste tire processing facility shall cease <br />effective December 31, 1993. <br /> <br />Indemnification. Upon execution of this Settlement <br />Agreement, WMMI, including its successors in interest, <br />agrees to indemnify and defend the City and its officials <br />and employees and including any liability as a member of <br />the joint powers agreement Landfill Board, from all <br />liability, claims, actions, costs, losses, expenses, <br />government proceedings and investigations, including but <br />not limited to environmental damage, environmental' <br />cleanup costs, persona], or bodily injury or death, damage <br />to or loss of property, costs of defense, settlement and <br />reasonable attorneys' fees and other professional fees, <br /> <br />6 <br /> <br /> <br />
