Binding Effect; Waiver. The provisions of this Agreement shall inure to the <br />benefit of and be binding upon Subgrantee and City and their respective successors and assigns. <br />No delay on the part of City in exercising any right, power or privilege shall operate as a waiver <br />thereof, nor shall any single or partial exercise of any right, power or privilege constitute such <br />waiver nor exhaust the same, which shall be continuing. <br />c. Survival of Agreements, Representations and Warranties. All agreements, <br />representations and warranties made in this Agreement by Subgrantee shall survive its <br />termination. <br />9 <br />
