22. Relationship of the Parties. Nothing in this Agreement shall be construed to <br />create any partnership, joint venture, or employment relationship between the <br />LLCs, and/or their employees, officers, directors, and/or agents, and the City <br />and/or its employees, officers, directors, and/or agents. The Parties understand <br />and agree that this Agreement does not create any rights or obligations beyond <br />those expressly contained herein. <br />23. Complete Agreement. This Agreement constitutes the entire agreement between <br />the Parties relating to the matters addressed in this document. This Agreement <br />supersedes any and all prior agreements between the Parties, including, but not <br />limited to, the Memorandum of Understanding ("MOU") executed by the LCCs on <br />or about February 19, 2014. No Party has relied upon any statements, promises or <br />representations other than those contained in this Agreement.
