Exhibit D ASSESSMENT AGREEMENT AND CERTIFICATION OF COUNTY ASSESSOR THIS AGREEMENT, made and entered into this 25th day of April. 2006, by and between the City of Ramsey, a Minnesota municipal corporation, having its principal office at 15153 Nowthen Boulevard Northwest, Ramsey, Minnesota 55303 (the "City"). and RIVERSIDE MANUFACTURING, INC., a Minnesota Corporation, having its principal office at 9944 Hwy 10 NW_ Elk River; MN 55330 (the "Developer"). WITNESSETH: WHEREAS, the City is administering City Development District No. 1 created pursuant to M.S. ti 469.124 through 469.134; and WHEREAS, the City is administering Tax Increment Financing District No. 10 created pursuant to M.S. § 469.174 through § 469.179; and WHEREAS. the parties have entered into a Contract for Private Development (the "Agreement"), dated April 25th. 2006, regarding the development of certain real property located in Development District No. 1 and Tax Increment Financing District No. 10 within the City and legally described as: The East 500 feet of the South 200 feet (as measured alone the East and South lines respectively) of the Northeast Quaner of the Southeast Quarter (NE 1/4 of SE 1/4) of Section numbered Twenty-seven (27), Township Thirtv-two (32) North. of Range Twenty-five (25) West. Subject to an easement for road purposes over the North 33 feet thereof and over the East 93 feet thereof. RESERVING FOR THE BENEFIT OF THE GRANTOR, ITS HEIRS AND ASSIGNS THE FOLLOWING INGRESS/EGRESS AND DRAINAGE AND UTILITY EASEMENTS A permanent easement for drainage and utility purposes over, under and across the East 500 feet of the South 200 feet (as measured alone the East and South lines respectively) of the Northeast Quaner of the Southeast Quarter (NE l/4 of SE '/a) of Section numbered Twenty-seven.
