Exhibit F <br />LIEN AGREEMENT <br />This A<grecment, made and entered into this 25th day of April, 2006, by and between the <br />Cit' of Ramsey, a Minnesota municipal corporation, having its principal office at 15153 <br />Nowthen Boulevard Northwest, Ramsey, Minnesota 55303 (the "City") and RIVERSIDE <br />MANUFACTURiNG, INC., A MINNESOTA CORPORATION, having its principal office <br />al 9944 Hwy 10 NW, Elk River, MN 5 330 (the "Developer"); <br />WITNESSETH: <br />WHEREAS, pursuant to M.S. §469.124 through §46.9.134, the City has created City <br />Development District No. 1 ("Development District") and, pursuant to M.S. §469.174 through <br />§469.179, has established Tax Increment Financing District No. 10 (`TIF District"); and <br />WHEREAS, the City has adopted a development program ("Prov_ram") and tax <br />increment financing:. plan ("TIF Plan") for the Development District and TIF District, which <br />Program and TIF Pian call for the City to peribrnl certain site improvements ("Site <br />Improvements") and for the Developer to construct certain permanent improvements ("Minimum <br />Improvements") on property located in the City and legally described as: <br />The East 500 feet of the South 200 feet (as measured along.: the East and South lines respectively) of the Northeast <br />Quarter of the Southeast Quarter (NE1/4 of SE '/4) of Section numbered Twenty-seven (27). Township Thirty-two <br />(32) North. of Range Twenty-five (25) West. Subject to an easement for road purposes over the North 33 feet <br />thereof and over the East 93 feet thereof. <br />RESERVING FOR THE BENEFIT OF THE GRANTOR. ITS HEIRS AND ASSIGNS THE FOLLOWING <br />ENGRESS/EGRESS AND DRAINAGE AND UTILITY EASEMENTS <br />A permanent easement for drainage and utility purposes over, under and across the East 500 feet of the South 200 <br />feet (as treasured along the East and South lines respectively) of the Northeast Quarter of the Southeast Quarter <br />(NEI /4 of SE '/a) of Section numbered Twenty-seven. Township Thirty-two North of Range Twenty-five West <br />described as follows: <br />Commencing at the Southwest Corner of said East 500 feet of the South 200 feet; thence on an assumed <br />bearing of North 00 degrees 25 minutes 08 seconds East. along the West line of said East 500 feet of the <br />South 200 feet. a distance of 27.50 feet to the point of beginning: thence South 89 degrees 34 minutes 52 <br />seconds East a distance of 56.00 feet: thence North 00 degrees 25 minutes 08 seconds East a distance of <br />53.00 feet: thence North 47 de,rees 31 minutes 00 seconds West a distance of28.00 feet: thence North 14 <br />degrees 24 minutes 00 seconds West a distance of 24.00 feet; thence North 06 degrees 00 minutes 00 <br />seconds East a distance of 78.20 feet to the North line of said East 500 feet of the South 200 feet: thence <br />South 89 degrees 58 minutes 11 seconds West, along said North line, a distance of 36.68 feet to the <br />Northwest Corner of said East 500 feet of the South 200 feet: thence South 00 degrees 25 minutes 08 <br />seconds West, along said West line, a distance of 172.50 feet to the point of beginning. <br />AND <br />A 20 foot wide permanent easement for drainage and utility purposes over, under and across said East 500 feet of <br />the South 200 feet (as measured alone the East and South lines respectively) of the Northeast Quarter of the <br />Southeast Quaner of Section numbered Twenty-seven.
