EXHIBIT F <br />LIEN AGREEMENT <br />This Agreement, made and entered into this 26th day of April, 2005, by and between the <br />City of Ramsey, a Minnesota municipal corporation, having its principal office at 15153 <br />Nowthen Boulevard Northwest, Ramsey, Minnesota 55303 (the "City") and MARTIN LAND <br />MANAGEMENT, L.L.C., A MINNESOTA LIMITED LIABILITY COMPANY, having its <br />principal office at 2070 204th Lane NW, Cedar, MN 55011 (the "Developer"); <br />WITNESSETH: <br />WHEREAS, pursuant to M.S. §469.124 through §46.9.134, the City has created City <br />Development District No. 1 ("Development District") and, pursuant to M.S. §469.174 through <br />§469.179, has established Tax Increment Financing District No. 2 ("TIF District"); and <br />WHEREAS, the • City has adopted a development program ("Program") and tax <br />increment financing plan ("TIF Plan") for the Development District and TIF District, which <br />Program and TIF Plan call for the City to perform certain site improvements ("Site <br />Improvements") and for the Developer to construct certain permanent improvements ("Minimum <br />Improvements") on property located in the City and legally described as: <br />That part of Lot 1, AUDITOR'S SUBDIVISION NO. 30, Anoka County, <br />Minnesota, described as beginning at the Northeast corner of Lot 2 of said <br />AUDITOR'S SUBDIVISION NO. 30; thence Southeasterly along the Southeasterly <br />extension of the Northeasterly line of said Lot 2 for a distance of 16.40 feet, more or <br />less, to intersect the West line of the East 946 feet of said Lot 1, as measured along <br />the North line of said Lot 1, also being the North line of the Northeast Quarter of <br />Section 34, Township 32, Range 25, Anoka County, Minnesota; thence North along <br />said West line of the East 946 feet of Lot 1 for a distance of 250 feet; thence West at <br />right angles a distance of 200 feet; thence South at right angles a distance of 160.4 <br />feet, more or less to intersect said Northeasterly line of Lot 2; thence Southeasterly <br />along said Northeasterly line of Lot 2 to the point of beginning.
