Contract. Seller has no right to terminate this Contract if Purchaser has notified Seller that all <br />other contingencies and/or conditions have been satisfied or waived by Purchaser and Seller <br />has not completed Seller's Work. <br />If Purchaser closes, the escrow agent is authorized to record and deliver Seller's deed <br />and withhold from the funds due Seller 1 1/2 times the cost of completing Seller's Work as the <br />cost of all of the uncompleted items described on the Sunwood Retail Common Improvements <br />Overall Cost Estimate (the "Overall Estimate") attached to the Contract as Exhibit E. After <br />closing, Purchaser may (but is not obligated to) complete Seller's Work and be reimbursed by <br />the escrow agent upon presentation to the escrow agent of an affidavit, setting forth Purchaser's <br />costs and the amount of reimbursement Purchaser is entitled to under this Contract, together <br />with invoices marked "Paid" or invoices with copies of checks paying such invoices; it being <br />understood and agreed that the amount payable to Purchaser for any uncompleted item shall <br />not exceed the amount of said item as set forth on the Overall Estimate, subject to unforeseen <br />costs incurred by Purchaser in the course of performing the uncompleted items set forth on the <br />Overall Estimate. The balance of the funds remaining, if any, will be disbursed to Seller. If the <br />escrowed funds are insufficient to fully reimburse Purchaser, Seller is liable for the difference, <br />provided that any amount payable by Seller under this sentence for any uncompleted item shall <br />not exceed the amount of said item as set forth on the Overall Estimate, subject to unforeseen <br />costs incurred by Purchaser in performing the uncompleted items of Seller's Work. <br />Notwithstanding the foregoing, any payment to Purchaser under this Paragraph 5 shall be net of <br />amounts that Purchaser is obligated to reimburse Seller pursuant to the Contract or the <br />Declarations (as defined in the Contract).
