I
I
I
I
I
I
I
I
I

I
I
I
I
I
I
I
I
I

It was suggested to sell shares at $25 a piece to receive a better response.

The Commission agreed that $25 shares would be much easier to sell.

Motion by Commissioner Muller and seconded by Commissioner Menkveld to sell
shares in the Ramsey Economic Development Company at $25.

Motion carried. Voting yes: Commissioners Greenberg, Muller, Menkveld, Fults,
Schneider, Guy and Miller. Voting no: None.

~]e need of a Board of Directors was discussed. Commissioner Menkveld suggested
that we could either use all ten members of the Economic Development Commission
or start with an initial group of two or three directors in order to initiate
the incorporation papers, then at the first meeting they could reele~ct members.

Councilman Cox said that we should be getting an indication from the Commissioners.
They should be committed to buying one share if they're on the Board of Directors.

Motion by Commissioner Menkveld and seconded by Commissioner Guy to use all ten
members of the Economic Development Commission as members of the Board of Directors
to incorporate the Ramsey Economic Development Company.

Motion carried. Voting yes: Commissioners GreeD_berg, Menkveld., Guy, Miller,
Muller, Schneider and Fults. Voting no: None.

Councilman Cox informed the Commission that now they are in the position to get
pledges.

City Attorney Goodrich stated that it will take possibly 30 days to file this
with the Security Exchange Commission at which time we can start actually selling
shares.

Chairman Greenberg thanked Mr. Goodrich for coming to the meeting.

Case #3: City Administrator's Report:

Landfill - City Administrator Schnelle informed the Commission of the
meeting on August 4, 1982 with County and Metropolitan Council officials
and the City of Ramsey regarding the landfill. They drafted a resolution
to hire a consultant to find out public health problems and economic
loss. The Metropolitan Council had little information to give us about
costs. The Ramsey City~.Council feels tax revenue would be lost forever.

The State does not want the present landfill included in Site P because
they don't want any of the problems associated with the present site.

Councilman Cox stated that our two major concerns with the landfill are
the economic impact and the public health aspect. He stated that he
doesn't like lawsuits but in some cases that's all you can do, the only
way to get results. We're being discriminated against and we need to
speak up.

Chairman Greenberg left the meeting and appointed Commissioner Menkveld to finish
the meeting as acting chairman.

EDC/August 11, 1982
