Final action adopting a budget for the ensuing calendar year shall be taken by the Co~mission on or before December 31, 1982, and thereafter on or before November 1 of each year. Section 5. Any member may inspect and oopy the Cormaission books and records at any and ~]l reasonable times. All books and records shall be kept in accordance with normal and accepted accounting procedures and principles used by Minnesota Statutory Cities. Section 1. The Co~mission shall continue for an indefinite term. The Commission may be terminated my mut,,a] agreement of a majority of the mem- bers at any time. Section 2. A member may withdraw from the Co~mi'ssion by filing a written noti,ce with the secretary-treasurer by October 15 of any year giving notice of withdrawl effective at the end of that calendar year; and membership shall continue until the effective date of the withdrawl. A notice of withdrawal may be rescinded at any time by a member. Ifa member withdraws before dissolution of the Commission, the member shall have no claim against the assets of the Cuimission. A withdrawing member shall have no claim to the franchise fee collected on its behalf for the year in which its withdrawal is effective, except for the reimbursement of cable-related expenses for that year. For the calendar year following withdrawal, and for all subsequent years, the franchise fee calculated upon gross revenues attributable to the system within the withdrawn member shall be paid by Grantee directly to the withdrawn member. Section 3. In the event of dissolution, the Co~,~-,ission shall deter- mine the measures necessary to effect the dissolution and shall provide for the taking of such measures as promptly as circumstances permit, subject to the pro-
