Any member may inspect and oopy the Cormaission books and <br /> records at any and ~]l reasonable times. All books and records shall be kept in <br /> accordance with normal and accepted accounting procedures and principles used by <br /> Minnesota Statutory Cities. <br /> <br /> Section 1. The Co~mission shall continue for an indefinite term. <br /> <br /> The Commission may be terminated my mut,,a] agreement of a majority of the mem- <br /> bers at any time. <br /> <br /> Section 2. A member may withdraw from the Co~mi'ssion by filing a <br />written noti,ce with the secretary-treasurer by October 15 of any year giving <br />notice of withdrawl effective at the end of that calendar year; and membership <br />shall continue until the effective date of the withdrawl. A notice of <br />withdrawal may be rescinded at any time by a member. Ifa member withdraws <br />before dissolution of the Commission, the member shall have no claim against the <br />assets of the Cuimission. A withdrawing member shall have no claim to the <br />franchise fee collected on its behalf for the year in which its withdrawal is <br />effective, except for the reimbursement of cable-related expenses for that year. <br />For the calendar year following withdrawal, and for all subsequent years, the <br />franchise fee calculated upon gross revenues attributable to the system within <br />the withdrawn member shall be paid by Grantee directly to the withdrawn member. <br /> <br /> Section 3. In the event of dissolution, the Co~,~-,ission shall deter- <br />mine the measures necessary to effect the dissolution and shall provide for the <br />taking of such measures as promptly as circumstances permit, subject to the pro- <br /> <br /> <br />
