I I I I I I I I I I I I I I I I I I STANDARD AGREEMENT FOR ENGINEERING SERVICE~ THIS AGREEME)(T, made this _ day of , 19 , by and between the City of Ramsey, first party, hereinafter called or referred to as the Owner, and Hakanson Anderson Associates, Inc., second party, here- inafter called or referred to as the Engineer, ~ITNESSETH, that, WHEREAS, the Owner is authorized to anJ intends to employ the services of the Engineers from time to time in the construction of public works and in pro- viding general engineering services for the owner, and whereas, the services will include in some instances single construction projects for which compensa- tion shall be in the rom of percentage fees in which case the york shall be deemed a project and in other instances the work will i~volve the development of reports, plans and specifications and such services in which case the .wor~ shall be deemed general engineering services and WHEREAS, it is intended that this contract shall govern the terms of employ- ment and compensation of the Engineers and all the conditions thereof, and the Owner desires to engage the services of the Engineers in connection with said work: NOW, THEREFORE, IN £ONSIDERATION of the mutual covenants of this agreement as set forth herein, IT IS AGREED BY and between the parties as follows: 1. The Owner hereby employs the Engineers to furnish and perfom the pro- fessional services hereinafter specified, and to pay the Engineers as compensation therefore the fees in the manner and subject to the conditions noted herein below; and the Engineers now agree to render and perfom any and all engineering services in connection with any of the abovementioned work, and to accept as payment of their compensa- tion the fees for such work, or any part thereof, in the manner and subject to the conditions noted herein. 2. The Engineer upon direction of the owner, agrees to perform the fol- lowing Engineering Services for Projects: A. General: The Engineer shall serve as the Owner's professional representative in the planning and the supervision of construc- tion of the Project, and shall give consultation and advice to the Owner during the performance of his services, (1) Copyright or Patent Infringements: The Engineer shall de- fend actions or claims charging infringement of any c~py- right or patent by reason of the' use or adoption of any designs, drawings or specifications supplied by him, and he shall hold harmless the Owner from loss or damage resulting therefrom, providing however, that the Owner within five days after receipt of any notice of infringement or of summons in any action therefor shall have forwarded the same to the Engineer in writing.
