- 25 - <br />replacement by the Association of any part of the Common Driveway <br />is caused by willful or negligent act of an Owner or Occupant or <br />their guests, the cost of such maintenance or repair may be added <br />to and become a part of the assessment to which such Owner and <br />his or her Lot are subject. <br />ARTICLE XI <br />EASEMENTS <br />All Lots shall be subject to all utilities and street <br />easements which exist from time to time and as set forth in the <br />recorded plat of the Property or as otherwise described. <br />ARTICLE XII <br />RIGHTS OF FIRST MORTGAGEES <br />Notwithstanding anything to the contrary in the Governing <br />Documents, and any applicable state and federal laws, First <br />Mortgagees shall have the following rights and protections: <br />Section 12.1 Changes in Governing Documents. Any amendment <br />or addition to any material provisions of the Governing Documents <br />which establish, provide for, govern or regulate any of the <br />following matters shall, in addition to the required consent of <br />the Owners as set forth in Article XIII, also require the prior <br />written approval of the First Mortgagees holding mortgages on <br />Houses to which are allocated at least fifty-one percent (51%) of <br />the votes in the Association. <br />a. Voting; <br />b. Assessments, assessment liens or subordination of such <br />liens; <br />C. Reserves for maintenance, repair and replacement of the <br />Common Property; <br />d. Insurance of fidelity bonds; <br />
