(b) Use of any videotape made under this agreement is contingent upon <br />payment by Licensee within 30 days of the date of the airing of the tape. <br />Fei.lure on the part*of Licensee to remit the appropriate license fee shall <br />consititute a breach of this Agreement and shall cause any license granted <br />hereunder to be subject to immediate termination by'Licensor and shall <br />subject Licensee to such other damages as the law may allow, <br /> <br />4. END OF TERH <br /> <br />With respect to copies made by Licensee under this agreement, Licensee <br />warrants that all such copies will be erased at the conclusion of the <br />license term, and Licensee grants to Licensor the right to inspect Licensee's <br />facilities to assure that said erasure has been performed. <br /> <br />5. RIGHT TO IHSPECT BOOKS AND RECORDS <br /> <br />Licensor shal) have the right upon reasonable notice during normal business <br />hours to inspect Licensee's premises, books and records, in order to verify <br />the number of copies reproduced. At the end of each calendar year, <br />Licensor may request Licensee to certify the inventory of copies LicenSee <br />has made during the previous period. An appropriate.form will be provided <br />to Licensee for this purpose. .. <br /> <br />6. WARRANTIES <br /> <br />Licensor warrants and representslthat any videotape recording of any <br />part or all of the series, or individual program, if used in the manner. <br />set forth herein, shall not violate the copyright or any-right of others <br />and shall hold Licensee harmless from and against any loss, damage,~ <br />cost or expense, which Licensee may incur by reason of any breach of <br />said representation. No other warranties are made or implied. Notwith- <br />standing the foregoing, Licensor makes no warranties or representations <br />regarding any:.advertising matter in any program. <br /> <br />7. GENERAL P~OVISIONS <br />Permission for the use of videotape copies of a program, as specified <br />herein, is limited to the terms and conditions of this license, and <br />no other rights are hereby granted in a program or a portion thereof <br />or in any other materials contained therein. <br /> <br />This Agreement is entire and complete on its face and represents the <br />complete understanding of the parties to this license..
