Copies of the Application and Regis- <br />tration are attached for your information. Please note <br />that the Application states that the stock are to be of- <br />fered at $50 per share. ~his per share price could be <br />changed by an ~endment to the Registration with the <br />State simply by a letter indicating such change along <br />with a $25 fee. <br /> <br />Company By-Laws were adopted on December 12, 1982. A <br />copy of these is attached. <br /> <br />4. Corporate officers were elected on March 22, 1983. ~ey <br /> are as follows: <br /> President - Don Greenberg <br /> Vice President - Bill Miller <br /> Secretary - Bob Muller <br /> Treasurer - Steve Schmidt <br /> Assistant Secretary - Darryl Fults <br /> Assistant Treasurer - Jack Menkveld <br /> <br />Stock certificates have been printed and attached is a <br />sample. <br /> <br />6. ~he Company may at this time sell shares of stock. <br /> <br />Based on the above information, we recoramend that the Board of <br />Directors hold a special meeting to reacquaint yourselves with <br />the corporate structure and organize to sell shares.
