The staff shall also have professional management, legal and accounting <br />capabilities sufficient to insure the proper and efficient operation of the <br />Corporation. <br /> <br /> Section 3: Definition. "Staff" shall include employees, Directors and <br />members of the Corporation and other qualified individuals or organizations who <br />may from time to time contract with the Corporation to provide professional <br />legal, accounting and technical assistance services to the Corporation residing <br />or doing business in the territory of the Corporation. <br /> <br /> Section 4: Number and Qualificationo The number of the staff shall be as <br /> determined by the Board of Directors provided, however, that this number shall <br /> be sufficient to meet the requirements of Section 2 of this Article VIII. <br /> Further, regardless of the number of the staff, the staff shall be qualified; <br /> based on education, experience and the opinion of the Board of Directors to meet <br /> <br /> the provisions of Section 2 of this Article VIII. <br /> ARTICLK XX <br /> CONTRACTS <br /> <br /> A Director, officer or shareholder may be and is authorized to be <br /> interested, directly or indirectly, in any contract relating-to the operations <br /> conducted by the Corporation and in any contract for furnishing supplies <br /> thereto. A contract or transaction shall not be invalid or in any way affected <br /> by the fact that a Director, officer or shareholder has or may have interests <br /> therein which are or might be adverse to the interests of the Corporation <br /> provided, however, that the fact of such interest shall be disclosed or known to <br /> the Director. A Director, officer or shareholder having so disclosed such <br /> adverse interest ahall not be liable to the Corporation or to any such <br /> shareholder of any creditor thereof or to any other person for any loss incurred <br /> <br /> <br />
