Section 4: Proxies. Proxies to vote with respect to shares of stock of <br />other corporations owned by or standing in the name of the Corporation may be <br />executed and delivered from time to time on behalf of the Corporation by the <br />Chairman of the Board, the President, any Vice President or the Secretary of the <br />Corporation or by any other person or persons thereunto authorized by the Board <br />of D~rectors. <br /> <br /> Section 5: Corporate Seal. The corporate seal shall be circular in form <br />and shall bear the name of the Corporation and words and figures denoting its <br />organization under the laws of the State of Minnesota and the year thereof and <br />otherwise shall be in such form as shall be approved from time to time by the <br /> <br />Board of Directors. <br /> <br /> Section 6: Fiscal Year. <br /> <br />December 31 of each year. <br /> <br />The fiscal year of the Corporation shall end on <br /> <br />ARTXCLK X! <br />ANKNDNKNTS <br /> <br /> Any of these' By-Laws may be amended, altered, repealed or added to and new <br />By-Laws may be made by the affirmative vote of two-thirds (2/3) of the Directors <br />given at any meeting of the Board of Directors. <br /> <br /> ARTICLK X]! <br /> <br /> To the fuil extent permitted by law, the Corporation shall indemnify and <br />reimburse each person made or threatened to be made a party to any action, suit <br />or proceeding, whether civil, criminal, administrative or investigative, by <br />reason of the fact that he, or his testator or interstate, is or was a Director <br />or officer of the Corporation or served any other corporation of any type or <br />kind, domestic or foreign, in any capacity at the request of the Corporation. <br /> <br /> <br />
