I I I I I I I I I I I I I I I I I CLOSING DOCUMENTS Simultaneously with the delivery of and payment for the Bonds by the original purchasers thereof, the City will furnish to the original purchasers the customary closing documents in form satisfactory to bond counsel. CERTIFICATION The City will ~urnish a statement to the-effect that this Official Statement, to the best of its knowledge and belief as of the date of sale and the date of delivery, is true and correct in all material respects and does not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements made herein, in light of the circumstances under which they were made, not misleading. LEGAL MATTERS Legal matters incident to the authorization and issuance of the Bonds are subject to the opinion of LeFevere, Lefler, Kennedy, O'Brien & Drawz, a Professional Association, of Minneapolis, Minnesota, Bond Counsel, as to validity and tax exemption. The opinion, which will be substantially in the form set forth in Appendix B attached hereto, will be printed on the back of the Bonds. Bond Counsel has not participated in the preparation of this Official Statement. MISCELLANEOUS Any statements made in this Official Statement involving matters of opinion or of estimates, whether or not so expressly stated, are set forth as such and not as representations of fact, and no representa- tion is made that any of the estimates will be realized.
