Section 3. Within thirty (30) days after the effective date of this <br /> agreement, the City Administrator of the City of Champlin shall call the first <br /> meeting of the Co~nission which shall be held no later than fifteen (15) days <br /> after such call. <br /> <br /> Section 4. The first meeting of the Commission shall be its organiza- <br /> tional meeting. <br /> <br /> Section 5. At the organizational meeting, or as soon thereafter as it <br />may reasonably be done, the Co~mission shall select frcm among the directors a <br />Chair, Vice-Chair, and Secretary-Treasurer, adopt By-Laws governing its <br />procedures including the time, place, notice for and frequency of its regular <br />meetings, adopt a procedure for calling special meetings, and such other matters <br />as are required by this agreement. The Conmission, in its By-Laws, may provide <br />for the division of the office of Secretary - Treasurer into the offices of <br />Secretary and Treasurer. <br /> <br /> VIII. PCK~ERS AND DUTIES OF THE COMv~SSI~ <br /> <br /> Section 1. The powers and duties of the Conmission shall include the <br />pc~ers set forth in this Article. <br /> <br /> Section 2. The Conmission may make such contracts and take such other <br />action as it deems necessary and appropriate to accomplish the general purposes <br />of the organization. Any purchases or contracts made shall conform to the <br />requirements applicable to Minnesota statutory cities. <br /> <br /> Section 3. The Commission shall undertake all tasks necessary to <br />coordinate, administer, and enforce the Franchise of each member except for that <br />authority and those tasks specifically retained by a member. <br /> <br /> Section 4. The Conmission shall continually review the operation and <br />performance of the cable o~nmunications system of the members and prepare annual <br />reports if required by the Minnesota Cable Cc~nunications Board and the FCC. <br /> <br /> Section 5.
