PARTIES: This MAINTENANCE AGREEMENT is made between <br /> <br />and AmeriDa%a'Systems Inc., 7008 Nor%)]l'and Dr., Minneapolis, MN 55428 <br />(AmeriData). AmeriData agrees to perform services and Customer aKrees <br />to pay for those services according to the provisions listed below. The <br />EQUI?MENT to be maintained is listed on the attached Equipment List or <br />Service Quotation which is a part of this Agreement. <br /> <br />2. TERM & RENEWAL: This AGREEMENT will become effective on %he START <br />DATE above and will remain effective for an initial MAINTENANCE PERIOD <br />of one (1) year from such date. This Agreement will be automatically <br />renewed on a year-to-year basis upon expiration of the Maintenance <br />Period. A new Start Date will be assigned and a new Maintenance Period <br />will begin. <br /> <br /> 3. PAYMENT: AmeriData will invoice Customer in advance for each <br /> Maintenance Period for Covered Maintenance as specified herein. Payment <br /> ls due in full upon receipt of invoice. Late payments are sub, eot to a <br /> late payment fee of 2~ per month. AmeriData must RECEIVE both this <br /> Agreement signed by Customer and payment for the Maintenance Period <br /> within 15 days after the Start Date. If these are not received within <br /> the 15 day Grace Period, any service performed before they are received <br /> by AmeriData will be billed at regular Time and Materials rates which <br /> Customer agrees to pay. <br /> <br /> 4. RATES: Rates for Covered Maintenance may be changed at the end of <br /> the initial Maintenance Period or at any time thereafter with thirty <br /> (50) days written notice. If Equipment is transferred out of the <br /> original rate zone, the rates charged will immediately be those of the <br /> new zone. <br /> <br />5. TERMINATION: Either party may terminate this Agreement by <br />providing written notice to the other party at least thirty (5~) days <br />prior to termination. The penalty for termination prior to the end of <br />a Maintenance Period is 50% of the remaining value of the contract, <br />which Customer agrees to pay. Amer~Data reserves the right to <br />immediately terminate this Agreement, without penalty, in the event <br />that Customer is in default of this or any other a~reement with <br />AmeriData. <br /> <br />6. MAINTENANCE ACCEPTANCE: Prior to accepting this Agreement <br />AmerlData reserves the right to inspect all equipment and locations to <br />insure that they are in accordance with manufacturers' specifications. <br />Customer agrees to pay all charges incurred to comply with those <br />specifications. <br /> <br />7. COVERED MAINTENANCE: AmerlData agrees to provide COVERED <br />MAINTENANCE to Customer during the Maintenance Period. Covered <br />Maintenance includes travel, labor, and materials, and the preventive <br />maintenance AmerlData deems reasonably necessary to keep Customer's <br />Equipment operating properly and all remedial maintenance required to <br />return Customer's Equipment to good working order, performed during <br />AmerlData's normal working hours. Normal working hours are on all <br />non-holiday weekdays Monday through Friday between 8:00 a.m. and <br /> <br /> asis Covered Maintenance provides for repairs on a module exchange <br /> with replacement parts being new or refurbished of equal <br />quality. All replaced parts become the property of AmeriData. When <br />necessary to remove equipment from Customer's site, AmeriData may, at <br />its option, provide a loaner of similiar (not necessarily identical) <br />type until Customer's Equipment can be repaired and returned. <br /> <br />8. DEPOT MAINTENANCE: On DEPOT MAINTENANCE AGREEMENTS, Customer is <br />responsible for returnln~ the complete unit to AmerlData's central <br />repair facility, Customer is responsible for proper packaging and for <br />paying to ship the Equipment to AmeriData. AmerlData is responsible <br />for unit repair and return shipping charges to Customer.
