CITY OF <br />COUNTY OF <br /> STATE OF MINNESOTA <br /> <br />A RESOLUTION DELEGATING AUTHORITY TO THE QUAD CITIES CABLE <br />COMMUNICATIONS COMMISSION TO REVIEW AND MAKE RECOMMENDATIONS <br />REGARDING THE TRANSFER OF OWNERSHIP AND FRANCHISE OF GROUP W <br />CABLE OF THE QUAD CITIES, INC. <br /> <br /> WHEREAS, the City has granted authority to Group W Cable <br />of the Quad Cities, Inc. (hereinafter "Group W"), a Minnesota <br />corporation, to construct a cable system in the City pursuant <br />to the Cable Communications Franchise Ordinance No. ; <br /> <br /> WHEREAS, the City has participated in the Quad Cities <br />Cable Communications Commission (hereinafter "Commission") <br />pursuant to the terms and conditions of a Joint and Cooperative <br />Agreement for the Administration of a Cable Communications <br />System, pursuant to Minnesota Statutes Section 471.59, as amended; <br /> <br /> WHEREAS, the City has delegated to Commission the authority <br />and responsibility to undertake all necessary or inciden%al <br />tasks to review the operation and performance of the cable <br />communications system and to coordinate, administer and enforce <br />the Ordinance of City pursuant to Article VIII, Sections 3 and <br />4 of the Agreement and Article XIII, Sections 2 and 3 of the <br />Franchise Ordinance; <br /> <br /> WHEREAS, Group W has requested the City's consent to a <br />change in control of Group W and the transfer of the Franchise <br />Ordinance to North Central Cable Communications, L.P.; <br /> <br /> WHEREAS, the City believes it to be in its best interest <br />and the most efficient utilization of resources for City to <br />continue to participate in Commission in reviewing the request <br />of Group W and to receive a recommendation from Commission; <br /> <br />NOW, THEREFORE, BE IT RESOLVED, by the City Council: <br /> <br /> 1) That the Quad Cities Cable Communications Commission <br />shall continue to undertake all necessary or incidental tasks <br />to review the request of Group W Cable of the Quad Cities, Inc. <br />that the City consent to a change in control in Group W and <br />the transfer of the Franchise Ordinance to North Central Cable <br />Communications, L.P. <br /> <br /> 2) That the Quad Cities Cable Communications Commission <br />shall conduct a joint public hearing as part of the review <br />process if it determines that the transfer of the Franchise <br />Ordinance may adversely affect the subscribers of Group W, <br />as required by the Franchise Ordinance. <br /> <br /> <br />
