AmeriData agrees to perform services and Customer agrees <br />to pay for those services according to the provisions listed below. The <br />EQUIPMENT to be maintained is listed on the attached Equipment List or <br />Service Quotation which is a part of this Agreement. <br /> <br />2. TERM & RENEWAL: This AGREEMENT will become effective on the START <br />DATE above and will remain effective for an initial MAINTENANCE PERIOD <br />of one (1) year from such date. This Agreement will be automatically <br />renewed on a year-to-Tear basis upon expiration of the Maintenance <br />Period. A new Start Date will be assigned and a new Maintenance Period <br />will begin. <br /> <br />~. PAYMENT: AmerlData will invoice Customer in advance for each <br />Maintenance Period for Covered Maintenance as specified herein. Payment <br />is due in full upon receipt of invoice. Late payments are subject to a <br />late payment fee of 2% per month. AmeriData must RECEIVE both this <br />Agreement signed by Customer and payment for the Maintenance Period <br />within 15 days after the Start Date. If these are not received within <br />the 15 day Grace Period, any service performed before they are received <br />by AmerlData will be billed at regular Time and Materials rates which <br />Customer agrees to pay. <br /> <br /> 4. RATES: Rates for Covered Maintenance may be changed at the end of <br /> the initial Maintenance Period or at any time thereafter with thirty <br /> (~0) days written notice. If Equipment is transferred out of the <br /> original rate zone, the rates charged will immediately be those of the <br /> new ~one. <br /> <br /> 5. TERMINATION: Either party may terminate this Agreement.by. <br /> providing written notice to the other p~rty.at least thirty (~) days <br /> prior to termination. The.penalty ~or ~e~mxnation p~lor to the end of <br /> a Maintenance Period is ~0% of the remaznxng value of the contract, <br /> which Customer agrees to pay. AmeriData reserves the right to <br /> immediately terminate this Agreement, without penalty, in the event <br /> that Customer is in default of this or any other agreement with <br /> AmeriData. <br /> <br /> 6. MAINTENANCE ACCEPTANCE: Prior to accepting this Agreement <br /> AmerlData reserves the right to inspect all equipment and locations to <br /> insure that they are in accordance with manufacturers' specifications. <br /> Customer agrees to pay all charges incurred to comply with those <br /> specifications. <br /> <br /> 7. COVERED MAINTENANCE: AmeriData agrees to provide COVERED <br /> MAINTENANCE to Customer during the Maintenance Period. Covered <br /> Maintenance includes travel, labor, and materials, and the preventive <br /> maintenance AmeriData deems reasonably necessary to keep Customer's <br /> Equipment operating properly and all remedial maintenance required to <br /> return Customer's Equipment to good working order, performed during <br /> AmerlData's normal working hours~ Normal working hours are on all <br /> non-holiday weekdays Monday through Friday between 8:0~ a.m. and <br /> p.m. Covered ~aintenance proyi~es for repairs on a module exchange <br /> basis with repAacement par~s oexng new or rezurbished of equal <br /> quality. Ail replaced parts bec~me the property of AmeriData. When <br /> necessary to remove equipment from Customer s site, AmeriData may, at <br /> its option, provide a loaner of simlliar (not necessarily identical) <br /> type until Customer's Equipment can.be repaired and returned. <br /> <br /> 8. DEPOT MAINTENANCE: On DEPOT MAINTENANCE AGREEMENTS, Customer is <br /> responsible for returning the complete unit to AmeriData's central <br /> repair facility, Customer is responsible for proper packaging and for <br /> paying to ship the Equipment to AmeriData. AmeriData is responsible <br /> for unit repair and return.shipping charges to Customer.
