PARTIES: This SOFTWARE UPDATE AOREEMENT is made between <br /> CITY OF RAMSEY~MINNESOTA , (Customer) and <br />AmeriData Systems Inc., 7~08 Northland Dr., Minneapolis, MN 554Z8 (AmeriData). <br />AmeriData a~rees to perform services and Customer agrees to pay for those <br />services according to the provisions listed below. TERM & RENEWAL: This AGREEMF~T will become effective on the START DATE <br />above and will remain effective for an initial SOFTWARE UPDATE PERIOD of one <br />(1) year from such date. This Agreement will be automatically renewed on a <br />year-to-year basis upon expiration of the Update Period. A new Start Date will <br />be assigned and a new Update Period will begin. <br /> <br />5. RATES & PAYMENT: AmeriData will invoice Customer in advance for each <br />Update Period for Covered Services as specified herein. Payment is due in full <br />upon receipt of invoice. Late payments are subject to a late payment fee of 2% <br />per month. AmeriData must RECEIVE both this Agreement signed by Customer and <br />payment for the Update Period within ~5 days after the Start Date. If these <br />are not received within the 15 day Grace Period, any service performed before <br />they are received by AmeriData will be billed at regular Software Support rates <br />which Customer agrees to pay. Rates for Covered Services may be changed at the <br />end of the initial Update Period or at any time thereafter with thirty (~) <br />days written notice. <br /> <br />4. ACCEPTANCE: Prior to accepting this Agreement AmeriData reserves the <br />right to require all software packages be brought to the current revision level <br />and to insure that they are in accoFdance with manufacturers' specifications. <br />Customer agrees to pay all charges incurred to comply with those <br />specifications ~ <br /> <br />5. COVERED UPDATE SERVICES: AmeriData agrees to provide COVERED UPDATE <br />SERVICES to Customer during the Update Period. Covered Services include <br />providing a machine readable copy of software updates, and associated <br />documentation, for covered software listed on the attached Software Usage <br />Agreement. These Services are to be performed during AmeriData's normal working <br />hours. Normal working hours are on all non-holiday weekdays Monday through <br />Friday between 8:~ a.m. and 5:~ p.m. <br /> <br />!! <br /> <br /> <br />
