PARTIES: Thio SOFT, ARE SUPPORT AOREEI~ENT lo made between <br /> CITY OF RAMSEY,MINNESOTA . (Cuotomer) and <br />AmerlData Systems Inc., TOeS Northland Dr.. Minneapolis. ~ 55¢28 (AmerlData). <br />AmeriData a~rees to perform services and Customer agrees to pay for those <br />services acoordin~ to the provisions listed below. <br /> <br />2. ACCEPTANCE: Prior to accepting this Agreement AmerlData reserves the <br />right to require all software packages be brought to the current revision level <br />a~d to insure that they are in accordance with manufacturers' specifications. <br />Customer agrees to pay all char&es incurred to comply with those <br />specifications. Customer agrees to perform the following duties which are NOT <br />Covered Support Services: A. Frovide an environment consistent with the <br />operating specifications of the manufacturer. B. Maintain all covered software <br />at the current revision levels. ~. Install all updates on their own hardware.~ <br />D. Regularly perform data backup and recovery procedures. <br /> <br />7. SUPPORT PERIOD & TI~E: This AOREE~LENT will become effective on the START' <br />DATE above and will remain effective for an initial SOFT~ARE SUPPORT PERIOD <br />unt~l~ the following applicable Support Time is used: ~L~0~-~~ <br /> ~r.~l~5 Hours Support Time at Si~e.0e Accepted by <br /> ~ 10 Hours Support Time at $~Se.e~ Accepted by <br /> ~2~ Hours Support Time at S~50.00 Accepted by <br /> <br />t. TERMS & BILLING: A~erlData viii ~vo~ce Customer in advance for each <br />Support ~eriod for Covered Services aa specified above. Payment ia due in full <br />upon receipt of invoice. ~nerLData must I~ECEIVE both this Agreement signed by <br />Customer and payment for the Support Period before the Start Date. Support <br />Time will be tracked a~d used in I~ minute blacks. A~y increment of time less <br />than 15 minutes viii.be considered · full block. 'Only actual telephone <br />co~u~lcation time will be tracked. Ti~ u~ed for research, simulation, and <br />other offfline activities will not be charged to Customer. A monthly statement <br />viii be sent to Customer if services are rendered. Rates for Covered Services <br />may be changed mt the end of the ~nitial Support Feriod or at any time <br />thereaffter ~rtth thirty (~e) days written notice. <br /> <br />~. COVERED SUPPORT F~ERVICES: AmerAData agrees to provide COVERED SUPPORT <br />SERVICES :o Customer during the Support Period. Covered Services include <br />communication by Customer with AmeriData Support Staff via telephone or data <br />communica~ions equipment re&ar~.iz~g queetions on any software product which' is <br /> <br />covered by warranty or by ~n AmerlD~ta Software Update Agreement and questions <br />relating to h~rdvare used in conJun~tion with such software products. These <br /> <br />Services are to be ~erformed during AmeriData's normal working hours. Normal <br />working hours are on all ~n-holiday weekdays ~onday thro~h Friday between <br />S:0~ a.m. ~nd ~:00 p.~. CST. Support Services will not be rendered if the <br />software 2s not up ~o the curren~ revision. Sol'aware Update Agreement is not in <br />effect, or Suppor~ Time ~ expired. <br /> <br />6.
