ARTICLE I. <br /> <br />Formation of Partnership <br /> <br />SECTION 1.1 The parties hereby form a General Partnership pursuant <br />to the provisions of the Partnership law of the State of Minnesota <br />except as hereinafter modified by agreement. <br /> <br />SECTION 1.2 The Partners shall cause all insurance policies, leases <br />and other business contracts and agreements to reflect the existence of <br />this Partnership. <br /> <br /> ARTICLE II. <br /> <br />Name and Place of Business <br /> <br />SECTION 2.1 The business of the partnership shall be conducted <br />under the name of "Flintwood Venture Company." <br /> <br />SECTION 2.2 The principal place of business of the Partnership shall <br />be at 700 Industry Avenue N.W., Anoka, Minnesota 55303 and at such <br />other places as may be agreed upon by the Partners from time to time. <br /> <br /> ARTICLE III. <br /> <br />Purposes of Partnership <br /> <br /> The purpose of the Partnership is to acquire title to, hold, <br />maintain, operate, manage, and dispose of real and personal property, <br />including development of land and any other business necessary or <br />relating thereto, and in such other business operations as the Partners <br />shall determine. <br /> <br /> ARTICLE IV. <br /> <br />Duration of Partnership <br /> <br /> The Partnership shall commence on the Effective Date hereof, and <br />shall continue thereafter until terminated as hereinafter provided. <br /> <br />-2- <br /> <br /> <br />
