accounting of the assets and liabilities of the Partnership, and of <br />Partnership profits, gains and losses, and such other statements as the <br />Partners shall deem desirable. Copies of such statements shall be <br />delivered to each Partner. <br /> <br />SECTION 12.3 As soon as possible after the completion of the annual <br />financial statements, the Partners and the independent public <br />accountant retained by the Partnership shall meet to review and discuss <br />the financial statements of the Partnership. <br /> <br />ARTICLE Xlll. <br />Banking <br /> <br />SECTION 13.1 The Partners will jointly open in the name of the <br />Partnership, and will thereafter maintain in Anoka County, a separate <br />bank account or accounts in the name of the Partnership, in which shall <br />be deposited all contributions of the Partners, and all other Partnership <br />income and funds. The Partners will use the funds in said accounts <br />solely for the business of the Partnership. <br /> <br />SECTION 13.2 Withdrawals from any Partnership account shall be <br />made only in the name of the Partnership, and shall be made only upon <br />the signature of Norman D. Holm. <br /> <br />ARTICLE XIV. <br />Restrictions on Partners <br /> <br />SECTION 14.1 No Partner shall assume any direct or contingent <br />liability for the other Partners without first obtaining the consent of <br />such other Partners. No Partner shall assume any direct or contingent <br />liability for the Partnership, or endorse or discount any note or <br />obligation affecting the Partnership, or procure money upon the written <br />promise of the Partnership, except to the extent that all the Partners <br />shall have mutually agreed in writing after the effective date hereof. <br />No Partners shall confess a judgment against the Partnership, or <br />possess Partnership property in his name, or assign his right in <br /> <br />-7- <br /> <br /> <br />
