If all the Partners have previously agreed in writing with <br />twelve (12) months on the value of any one or more of the capital <br />assets of the Partnership, such agreed value shall be deemed to <br />be the value of such asset. <br /> <br /> c. The value of any real estate of interest in real estate <br />owned by the Partnership shall be adjusted to reflect its current <br />market value as of the date of separation. Such market value <br />shall be determined by agreement of all of the Partners. If all <br />of the Partners have previously agreed in writing within the 12 <br />months immediately preceding the date of separation as to the <br />value of the real estate or real estate interest, then such value <br />shall be controlling. However, if there had been no written <br />agreement as to value of the real estate or interest in real estate <br />within the 12 months immediately preceding the date of separation <br />and if no agreement is reached within 20 days after the date of <br />separation, then the value of the real estate shall be determined <br />by three disinterested appraisers, whose decision by marjority <br />vote shall be final absent fraud or collusion. For such purposes, <br />one appraiser shall be appointed by the separating Partner, <br />one appraiser shall be appointed by the Partner exercising its <br />option and the third appraiser shall be appointed by the other <br />two. Said appraisers shall be appointed no later than 40 days <br />after date of separation and said appraisals shall be completed no <br />later than 60 days after date of separation, if any appraiser is <br />not appointed within the time herein set forth, any party may <br />petition the District Court of Anoka County, Minnesota, at <br />Special Term to appoint such appraiser and such appointment by <br />the Court shall be final and binding. The separated Partner shall <br />pay the cost of his appraiser, the exercising Partner shall pay <br />the cost of its appraiser and the Partnership shall pay the cost <br />of the third appraiser. <br /> <br /> 4. Alternative Purchase Price - The Partners may from time to <br />time adopt a purchase price which shall be the purchase price for the <br />entire interest of a partner, including both the partner's during <br /> <br />-11- <br /> <br /> <br />
