I I I I I I I I I I I I I I I I I I I SECTION 20.2 Situs - This Agreement has been made and executed in the State of Minnesota and shall be construed in accordance with the laws of the State of Minnesota. SECTION 20.3 Counterparts This Agreement has been executed in counterparts, each of which shall be deemed to be an original. By execution hereof, each Partner acknowledges receipt of an exeucted counterpart of this Agreement. SECTION 20.4 Benefit - This Agreement shall be binding upon and inure to the benefit of the Partners and their legal heirs, representatives and assigns. SECTION 20.5 Severabiiity - If any portion of this Agreement shall be found to be unenforceable by any court of competent jurisdication, such portion shall be severed from the Agreement without thereby affecting the enforceability of the remainder of the Agreement. SECTION 20.6 Amendment - This Agreement may be amended only by the written agreement of all of the Partners. SECTION 20.7 Whole Agreement - This Agreement constitutes the whole and complete agreement between the Partners and no other agreement, whether written or oral, shall have any force and effect. SECTION 20.8 Liability Insurance - The Partnership shall purchase and maintain a policy or policies of general liability insurance providing coverage in amounts of not less than Dollars per claim and Dollars per occurence for bodily injury and property. Evidence of such insurance shall be maintained in the records of the Partnership. SECTION 20.9 Votes - Except as herein specifically provided to the contrary, any vote shall be determined by a majority of interests in the partnership. -17-
