9.3.5 The Grantee shall not be required to indemnify the City for negligence or
<br /> misconduct on the part of the City or its officers, boards, committees,
<br /> commissions, elected or appointed officials, employees, volunteers or agents,
<br /> including any loss or claims.
<br /> 9.3.6 Related only to PEG programming, the Grantee shall not be required to indemnify
<br /> the City for negligence or misconduct on the part of the City or its officers,
<br /> boards, committees, commissions, elected or appointed officials, employees,
<br /> volunteers or agents, including any loss or claims.
<br /> 9.4 Insurance.
<br /> 9.4.1 As a part of the indemnification provided in this Franchise, but without
<br /> limiting the foregoing, Grantee shall file with Commission at the time of its
<br /> acceptance of this Franchise, and at all times thereafter maintain in full
<br /> force and effect at its sole expense, a comprehensive general liability
<br /> insurance policy, that covers broadcaster's liability and contractual
<br /> liability coverage, in protection of the Grantee, the Commission, the City
<br /> and its officers, elected and appointed officials, boards, commissions,
<br /> commissioners, agents, employees and volunteers for any and all damages
<br /> and penalties which may arise as a result of this Franchise. The policy or
<br /> policies shall name the City and the Commission as an additional insured,
<br /> and in their capacity as such, City and Commission officers, elected and
<br /> appointed officials, boards, commissions, commissioners, agents,
<br /> employees and volunteers. The broadcasters/cablecasters' liability
<br /> coverage specified in this provision shall be subject to this
<br /> Franchise regarding indemnification of the City.
<br /> 9.4.2 The policies of insurance shall be in the sum of not less than $1,500,000.00
<br /> for personal injury or death of any one Person, and $2,000,000.00 for
<br /> personal injury or death of two or more Persons in any one occurrence,
<br /> $1,500,000.00 for property damage to any one person and $2,000,000.00
<br /> for property damage resulting from any one act or occurrence.
<br /> 9.4.3 The policy or policies of insurance shall be obtained from a company
<br /> licensed to do business in Minnesota. The Grantee shall provide a
<br /> certificate of insurance coverage to the City. The policy shall either state
<br /> that the City shall be notified in writing by the insurer thirty (30) days in
<br /> advance of any cancellation or termination of such policy or, in the
<br /> alternative, Grantee shall provide immediate written notice to the City if
<br /> a cancellation or termination notice is received by Grantee and Grantee
<br /> shall thereafter undertake immediate steps to secure a replacement policy
<br /> meeting the requirements set forth herein.
<br /> 9.4.4 Grantee shall keep on file with the Commission Certificates of Insurance.
<br /> 9.4.5 Failure to comply with the insurance requirements of this Section shall
<br /> constitute a material violation of this Franchise.
