13.10 Captions and References. <br /> 13.10.1 The captions and headings sections throughout this Franchise are intended solely to <br /> facilitate reading and reference to the sections and provisions of this Franchise. <br /> Such captions shall not affect the meaning or interpretation of this Franchise. <br /> 13.10.2 When any provision of the City Code is expressly mentioned herein, such <br /> reference shall not be construed to limit the applicability of any other <br /> provision of the City Code that may also govern the particular matter in <br /> question. <br /> 13.11 Rights of Third Parties. <br /> This Franchise is not intended to, and shall not be construed to, grant any rights to or vest any <br /> rights in third parties,unless expressly provided herein. <br /> 13.12 Merger of Documents. <br /> This Franchise, and the attachments hereto, constitute the entire Franchise agreement <br /> between the City and the Grantee, and supersede all prior oral or written franchises and <br /> understandings. <br /> SECTION 14. <br /> PUBLICATION EFFECTIVE DATE;ACCEPTANCE AND EXHIBITS <br /> 14.1 Publication. <br /> This Franchise shall be published in accordance with applicable local and Minnesota law. <br /> 14.2 Acceptance. <br /> 14.2.1 Grantee shall accept this Franchise within thirty (30) days of its enactment by the <br /> City Council and the enactment of a Franchise by the other member <br /> municipalities of the Commission, unless the time for acceptance is extended by the <br /> City. Such acceptance by the Grantee shall be deemed the grant of this Franchise <br /> for all purposes; provided, however, this Franchise shall not be effective until all <br /> City ordinance adoption procedures are complied with and all applicable timelines have <br /> run for the adoption of a City ordinance. In the event acceptance does not take place,or <br /> should all ordinance adoption procedures and timelines not be completed, this <br /> Franchise and any and all rights granted hereunder to the Grantee shall be null and <br /> void. <br /> 14.2.2 Upon acceptance of this Franchise, the Grantee and the City shall be bound by all <br /> the teiiiis and conditions contained herein. The Grantee agrees that this Franchise is <br /> not inconsistent with applicable law or regulations at the time it is executed. <br /> 14.2.3 Grantee shall accept this Franchise in the following manner: <br /> 14.2.3.1 This Franchise will be properly executed and acknowledged by <br /> Grantee and delivered to City. <br /> 47 <br /> 489232vI RJV QU210-6 <br />
