(kk) Parkland hnprovements. "Parkland Improvements" has the <br />meaning set forth in the Parkland and Trail Plan. <br /> <br />Section 2. l (11) is hereby amended to read as follows: <br /> <br /> (11) Parkland and Trail Plan. "Parkland and Trail Plan" means the <br /> Pm'kland and Trail Plan dated as of ,20 <br /> <br />Section 2.1 (iii) is hereby added to the Master Development Agreement to read as follows: <br /> <br />(iii) Phase II Parking Ramp. "Phase II Parking Ramp" means the Phase II <br />Pm'ldng Ramp described in Section <br /> <br />Section 3.2(c) is hereby added to the Master Development Agreement to read as follows: <br /> <br />3.2 REPRESENTATIONS AND WARRANTIES OF THE <br /> <br />DEVELOPER. The Developer:represents 'and warrants to the City: <br /> <br />(c) That the Developer holds fee title to the Subjbct Property and no <br />persons or entities other than the Interested Parties have any recorded or <br />unrecorded right, title, or interest in the Subject Property. <br /> <br />The following language is hereby deleted from Section 4.11 of the Master Development <br />Agreement: <br /> <br />For a period of 90 days following the Council's approval of this Master <br />Agreement, the City and the Developer will attempt to agree on a Parkland <br />and Trail Plan which defines any additional land which the Developer will <br />convey or dedicate to the City for park purposes and sets forth the timing <br />and terms and conditions of any such conveyance or dedication; describes, <br />in detail, the improvements which the Developer is obligated to make to <br />the Parkland and to any other land the Developer agrees to convey or <br />dedicate to the City for park purposes (the "Parkland Improvements"); <br />establishes a schedule for the Developer's commencement and completion <br />of the Parkland ln~provements; describes the security, if any, which the <br />Developer must provide to the City to secure the Developer's perfbrmance <br />of its obligation to construct the Parkland Improvements; and defines the <br />timing of the Developer's obt.igation to deliver such security, if any, to the <br />City. <br /> <br />Section 4.12 of the Master Development Agreement is hereby amended to read as <br />follows: <br /> <br />4.12 PARK AND TRAIL FEES. The RTC Controls require the <br />payment of park and trail fees in colmection with the Development of the <br />Subject Property. The City and the Developer agree that the City will <br />collect the park and trail fees at the time the City approves a Secondary <br />Development Agreement for a Phase or at such later time as established in <br /> <br /> 1684445v2 <br /> <br />-~22- <br /> <br /> <br />
