As provided in Section 10.4 of the Lease Agreement between the City and the <br />Authority, dated as of December 1, 1999 (the "Lease"), the Authority hereby determines and <br />declares that upon the issuance of the Bonds and the funding of the' Escrow Deposit as provided <br />in the Escrow Agreement, the Lease and the Ground Lease between the City and the Authority, <br />dated as of December 1, 1999 shall be terminated and the Authority shall have no further right, <br />title and/or interest in and to the Fire Station. <br /> <br /> The motion for the adoption of the foregoing resolution was duly seconded by member <br /> and, after a full discussion thereof and upon a vote being taken thereon, the <br />following voted in favor thereof: <br /> <br />and the £ollowing voted against the same: <br /> <br />and the tbllowing abstained: <br /> <br />and the fbllowing were absent: <br /> <br /> Whereupon, the resolution was declared passed and adopted by the Board of <br />Commissioners of the Economic Development Authority of the City of Ramsey this the 10th day <br />of November, 2004. <br /> <br />ATTEST: <br /> <br />Chair <br /> <br />Vice Chair / Treasurer <br /> <br />12 <br /> <br /> <br />
