D. If Contractor damages, delays, disrupts, or interferes with the work of any other contractor, <br />or any utility owner performing other work at or adjacent to the Site, through Contractor's <br />failure to take reasonable and customary measures to avoid such impacts, or if any claim <br />arising out of Contractor's actions, inactions, or negligence in performance of the Work at <br />or adjacent to the Site is made by any such other contractor or utility owner against <br />Contractor, Owner, or Engineer, then Contractor shall (1) promptly attempt to settle the <br />claim as to all parties through negotiations with such other contractor or utility owner, or <br />otherwise resolve the claim by arbitration or other dispute resolution proceeding or at law, <br />and (2) indemnify and hold harmless Owner and Engineer, and the officers, directors, <br />members, partners, employees, agents, consultants and subcontractors of each and any of <br />them from and against any such claims, and against all costs, losses, and damages <br />(including but not limited to all fees and charges of engineers, architects, attorneys, and <br />other professionals and all court or arbitration or other dispute resolution costs) arising out <br />of or relating to such damage, delay, disruption, or interference. <br />ARTICLE 9 — OWNER'S RESPONSIBILITIES <br />9.01 Communications to Contractor <br />A. Except as otherwise provided in these General Conditions, Owner shall issue all <br />communications to Contractor through Engineer. <br />9.02 Replacement of Engineer <br />A. Owner may at its discretion appoint an engineer to replace Engineer, provided Contractor <br />makes no reasonable objection to the replacement engineer. The replacement engineer's <br />status under the Contract Documents shall be that of the former Engineer. <br />9.03 Furnish Data <br />A. Owner shall promptly furnish the data required of Owner under the Contract Documents. <br />9.04 Pay When Due <br />A. Owner shall make payments to Contractor when they are due as provided in the <br />Agreement. <br />9.05 Lands and Easements; Reports, Tests, and Drawings <br />A. Owner's duties with respect to providing lands and easements are set forth in Paragraph <br />5.01. <br />B. Owner's duties with respect to providing engineering surveys to establish reference points <br />are set forth in Paragraph 4.03. <br />C. Article 5 refers to Owner's identifying and making available to Contractor copies of reports <br />of explorations and tests of conditions at the Site, and drawings of physical conditions <br />relating to existing surface or subsurface structures at the Site. <br />9.06 Insurance <br />A. Owner's responsibilities, if any, with respect to purchasing and maintaining liability and <br />property insurance are set forth in Article 6. <br />9.07 Change Orders <br />A.
