the Contract. The Change Proposal shall specify any proposed change in Contract Times or <br />Contract Price, or both, or other proposed relief, and explain the reason for the proposed <br />change, with citations to any governing or applicable provisions of the Contract Documents. <br />1. Procedures: Contractor shall submit each Change Proposal to Engineer promptly (but <br />in no event later than 30 days) after the start of the event giving rise thereto, or after <br />such initial decision. The Contractor shall submit supporting data, including the <br />proposed change in Contract Price or Contract Time (if any), to the Engineer and <br />Owner within 15 days after the submittal of the Change Proposal. The supporting data <br />shall be accompanied by a written statement that the supporting data are accurate <br />and complete, and that any requested time or price adjustment is the entire <br />adjustment to which Contractor believes it is entitled as a result of said event. <br />Engineer will advise Owner regarding the Change Proposal, and consider any <br />comments or response from Owner regarding the Change Proposal. <br />2. Engineer's Action: Engineer will review each Change Proposal and, within 30 days after <br />receipt of the Contractor's supporting data, either deny the Change Proposal in whole, <br />approve it in whole, or deny it in part and approve it in part. Such actions shall be in <br />writing, with a copy provided to Owner and Contractor. If Engineer does not take <br />action on the Change Proposal within 30 days, then either Owner or Contractor may at <br />any time thereafter submit a letter to the other party indicating that as a result of <br />Engineer's inaction the Change Proposal is deemed denied, thereby commencing the <br />time for appeal of the denial under Article 12. <br />3. Binding Decision: Engineer's decision will be final and binding upon Owner and <br />Contractor, unless Owner or Contractor appeals the decision by filing a Claim under <br />Article 12. <br />B. Resolution of Certain Change Proposals: If the Change Proposal does not involve the design <br />(as set forth in the Drawings, Specifications, or otherwise), the acceptability of the Work, or <br />other engineering or technical matters, then Engineer will notify the parties that the <br />Engineer is unable to resolve the Change Proposal. For purposes of further resolution of <br />such a Change Proposal, such notice shall be deemed a denial, and Contractor may choose <br />to seek resolution under the terms of Article 12. <br />11.07 Execution of Change Orders <br />A. Owner and Contractor shall execute appropriate Change Orders covering: <br />1. changes in the Contract Price or Contract Times which are agreed to by the parties, <br />including any undisputed sum or amount of time for Work actually performed in <br />accordance with a Work Change Directive; <br />2. changes in Contract Price resulting from an Owner set-off, unless Contractor has duly <br />contested such set-off; <br />3. changes in the Work which are: (a) ordered by Owner pursuant to Paragraph 11.02, (b) <br />required because of Owner's acceptance of defective Work under Paragraph 14.04 or <br />Owner's correction of defective Work under Paragraph 14.07, or (c) agreed to by the <br />parties, subject to the need for Engineer's recommendation if the change in the Work <br />involves the design (as set forth in the Drawings, Specifications, or otherwise), or other <br />engineering or technical matters; and <br />4. changes in the Contract Price or Contract Times, or other changes, which embody the <br />substance of any final and binding results under Paragraph 11.06, or Article 12. <br />EJCDC® C-700, Standard General Conditions of the Construction Contract. <br />Copyright © 2013 National Society of Professional Engineers, American Council of Engineering Companies, <br />and American Society of Civil Engineers.
