Parkland is legally described on the attached Exhibit A. This definition <br />supersedes and replaces the definition of Parkland set forth in the Master <br />Agreement. <br />(b) Parkland and Trail Plan. "Parkland and Trail Plan" means the Parkland and Trail <br />Plan on the attached Exhibit B. This definition supersedes and replaces the <br />definition of Parkland and Trail Plan set forth in the Master Agreement. <br />(c) Parkland Phase. "Parkland Phase" and "Parkland Phases" have the meanings set <br />forth in Section 4.1 of this Agreement. <br />ARTICLE 3 <br />CONVEYANCE OF PARKLAND <br />3.1 CONVEYANCE OF PARKLAND TO CITY. Contemporaneously with the <br />execution of this Agreement, the Developer is conveying the Parkland to the City. Title to the <br />Parkland must be marketable except for public drainage and utility easements whic4"a-net <br />intefl�re withe City^ use of the Pa-kian for- p^r'E „ e;of record. Contemporaneously <br />with the conveyance of the Parkland, the Developer must pay or provide for the payment of all <br />real estate taxes due and payable in 2004 and allbut the City shall assume any levied or pending <br />special assessments due and payable with respect to the Parkland} whether or not such real eat <br />ta)ces ndlevied orpending special assessments are due and payable at the time of conveyance. <br />ARTICLE 4 <br />RELOCATION OF OUTLOT DD — SPECIAL ASSESSMENTS <br />4.1. Subsequent to the platting of Ramsey Town Center Addition, the parties agreed that <br />Developer shall convey Outlot DD as Parkland to the City. In order to convey said Outlot DD to <br />the City without special assessment encumbrances, the Developer agrees that the special <br />assessments allocated to Outlot DD in Exhibit F shall be prorata spread on all of the lots and <br />blocks in Ramsey Town Center Addition to which the Developer has fee ownership of on the <br />date of this Agreement. The stiecial assessments originally attributed to Outlot DD tier Exhibit F <br />are as fellow'R. <br />Phase I Roadways - $ 21,900.00 <br />Phase II Roadways - $ 8,391.00 <br />Phase I Parking Ramps - $150,000.00 <br />TOTAL $180,291.00 <br />Therefore, the amount of special assessments to be respread as above described is $180,291.00. <br />AbE�4ARTICLE 5 <br />CONSTRUCTION OF PARKLAND IMPROVEMENTS <br />445.1 2--CONSTRUCTION OF PARKLAND IMPROVEMENTS.
