13. Except as otherwise provided to the contrary, this Guaranty shall be binding upon and <br />inure to the benefit of the parties hereto and their personal representatives, heirs, <br />successors, and assigns. No other person has any rights, interest, or claims <br />hereunder or is entitled to any benefits under or on account of this Guaranty as a <br />third -party beneficiary or otherwise. <br />14. This Guaranty shall be governed by, interpreted, and enforced under the laws of <br />Minnesota, without giving effect to its conflict of laws provisions. Any litigation <br />between the parties shall be conducted exclusively in the state and federal courts in <br />Anoka County, Minnesota, and any arbitration or similar proceeding shall be <br />conducted exclusively at a location within such county and state. Each party consents <br />to the jurisdiction and venue of the courts described above. <br />15. If any provision or application of this Guaranty is held unlawful or unenforceable, <br />such illegality or unenforceability shall not affect other provisions or applications <br />which can be given effect, and this Guaranty shall be construed as if the unlawful or <br />unenforceable provision or application had never been contained or prescribed. <br />16. All representations and warranties in this Guaranty or in any other agreement <br />between Guarantor and Lender shall survive the execution, delivery, and <br />performance of this Guaranty and the creation and payment of the Indebtedness. <br />17. This Guaranty may not be waived, modified, invalidated, terminated, or released or <br />otherwise changed except by a writing signed by Lender. <br />Guarantor has signed this Guaranty on the date set forth in the first paragraph of the <br />Guaranty. <br />Kristen Johnson <br />Michael Johnson <br />
