11. Third Party Beneficiary. Borrower's Limited Partner, and its successors and assigns, is <br />a third party beneficiary of the rights of Borrower under the Loan Documents, as modified by this Rider <br />and has the right to directly enforce such rights. <br />12. Inconsistency. In the event of any inconsistency or conflict between the covenants, <br />terms and conditions of any of the Loan Documents and this Rider, the covenants, terms and conditions of <br />this Rider shall control. <br />13. Survival. Except to the extent expressly modified, supplemented or amended in this <br />Rider, the Loan Documents remain in full force and effect. <br />14. Counterparts. This Rider may be executed in any number of counterparts, each of <br />which when executed and delivered shall be an original, but such counterparts shall together constitute <br />one and the same instrument. The production of any executed counterpart of this Rider shall be sufficient <br />for all purposes without producing any other counterpart thereof. <br />15. Non -recourse. Payment and performance of the obligations set forth in the Loan <br />Documents shall be non -recourse to Borrower and Borrower's general and limited partners and the <br />Lender's sole recourse with respect to repayment of the Loan shall be the right to foreclose under the <br />Mortgage and other collateral forming part of the Loan Documents. <br />US.113578590.01 B-2-24 <br />
