2. Other Anreements. By execution of this Contract, DEVELOPERS acknowledge <br />the Subject Property and its development contemplated by the Final Plat is subject to the terms <br />and conditions of that certain other documents entitled: <br />"CITY OF RAMSEY <br />MASTER DEVELOPMENT AGREEMENT <br />FOR RAMSEY TOWN CENTER <br />By and Between <br />CITY OF RAMSEY <br />And <br />RAMSEY TOWN CENTER LLC <br />Dated September 17, 2003" <br />(the "Master Development Agreement") <br />and <br />"FIRST AMENDMENT TO CITY OF RAMSEY <br />MASTER DEVELOPMENT AGREEMENT <br />FOR RAMSEY TOWN CENTER <br />By and Between <br />CITY OF RAMSEY <br />And <br />RAMSEY TOWN CENTER LLC <br />Dated February 28, 2005" <br />(the "First Amendment") <br />The terms and conditions of the aforementioned agreements are incorporated herein by <br />reference as if fully set forth at this point. DEVELOPERS further acknowledge, by <br />execution of this Contract, receipt of a copy of the aforementioned agreements. <br />In the event of a conflict between the terms of this Contract and the terms of the <br />aforementioned agreements shall control. <br />3. Conditions of Approval. The CITY hereby approves the Plat on condition that: <br />a. the DEVELOPERS enter into this Contract, and <br />b. the DEVELOPERS provide the necessary security in accordance with the <br />terms of this Contract, and in accordance with their respective <br />responsibilities. <br />4. Development Plans.
