permissible by law, the requirements Of and wording for said provisions to be in accordance with <br />Exhibit "A" and approved by the Anoka County Attorney's Office. <br /> <br />The City shall include in all of its Agreements with its contractors, for the construction of the <br />improvements described herein, which inyolve .the County highway system, provisions requiring <br />that the contractor indemnify and h°ld harmles~ the County to the full extent permissible by law, <br />the requirements of and wording for said provisions to be in accordance with Exhibit "B" and <br />approved by the Anoka County Attorney.'s Office. <br /> <br />12. <br /> <br />TERMINATION OF AGREEMENT BY THE COUNTY <br /> <br />A. The County may terminhte this.Agreement if the City, and the Developer of the Ramsey Town <br /> Center (RTC) do not enter into a development agreement on or before the date of this agreement <br /> which agreement provides for the development ofa RTC. RTC means a unified, concentrated <br /> development having the following chakacteristics: <br /> <br /> (1) Commercial mixed use development occupying a minimum of 1.0 million gross square <br /> <br />(2) <br /> <br />(3) <br /> <br />feet of space <br /> <br />Transit station Suitable for conversion to a commuter rail station <br /> <br />A minimum of 1,500 units of medium and high density residential units <br /> <br />The City shall provide copies of all agreements with the Developer of RTC. The County <br />may terminate this agreement with the City if the City modifies, alters or changes any of the <br />terms or conditions of its agreement with the Developer of the RTC. <br /> <br />13. <br /> <br />TERM <br /> <br />This Agreement shall continue until (1) it is terminated as provided herein, or (2) until the construction <br />provided for herein is completed and payments provided for herein are made, whichever of(l) or (2) shall <br />first occur. Maintenance portions of this Agreement shall not terminate unless a subsequent agreement, <br />specifically approved by the governing bodies of both parties, replaces this Agreement. <br /> <br />14. <br /> <br />STRICT ACCOUNTABIZITY <br />A strict accounting shall be made of all funds and report of all receipts and disbursements shall be made <br />upon request by either party. <br /> <br />13 <br /> <br /> <br />
