19. Binding Effect. This Agreement binds and benefits the parties and their <br />respective successors and assigns. <br />20. Controlling Law. Minnesota law will govern this Agreement. <br />21. Time of the Essence. Time is of the essence with respect to all matters in this <br />Agreement. <br />22. Remedies. If Buyer defaults under this Agreement, Seller shall have the right to <br />terminate this Agreement by giving 30 days written notice to Buyer. If Buyer fails to cure the <br />default within 30 days of service of the notice, this Agreement will terminate, and upon the <br />termination, Seller will retain the Earnest Money. Upon Seller's default, Buyer shall have the <br />right to receive all Earnest Money. In addition to and not in limitation of the foregoing, if prior <br />to Closing, Seller defaults on any of the warranties, covenants or agreements in this Agreement <br />or if any representation shall be untrue, then Buyer may at its option terminate this Agreement <br />without liability to Buyer and all Earnest Money shall be refunded to Buyer. <br />23. Counterparts. This Agreement may be executed in any number of <br />• counterparts, all of which together shall constitute the Agreement.
