(Reserved for Recording Data) <br />RIGHT OF ENTRY <br />AGREEMENT <br />THIS RIGHT OF ENTRY AGREEMENT (this "Agreement"), is made on the day <br />of July, 2019, by SLP EX, LLC and AMP EX, LLC, together the ("Developer"), are <br />Minnesota limited liability companies, for the benefit of CITY OF RAMSEY (the "City"), a <br />Minnesota municipal corporation, and is based on the following facts: <br />A. Developer is the owner of fee title to real propeliy situated in the City, Anoka <br />County, Minnesota, legally described as Lot 1, Block 1, Amsterdam Extension, <br />according to the recorded plat thereof (the "Property"). <br />B. Developer, or its successor in title to the Property, intends to construct on the <br />Property certain improvements (collectively, the "Improvements") suitable for <br />use as an industrial business, which Improvements will include a fire <br />suppression system serving the other Improvements (the "System"), which <br />System will include water mains, valves, hydrants and other related equipment. <br />C. As a condition to its approval of the construction of the Improvements, the City <br />requires that Developer grant to the City a right of entry onto the Property to <br />inspect and test the System. <br />D. The City hereby releases the Right of Entry Agreement dated May 20, 2011 and <br />recorded with the Anoka County Recorder's Office as Document No <br />2022343.009, contingent upon this Right of Entry Agreement being properly <br />executed and recorded. <br />NOW, THEREFORE, in consideration of the facts stated above and for other good and valuable consideration, <br />the receipt and sufficiency of which are hereby acknowledged by Developer, Developer, on behalf of itself and <br />all future owners of the Property from time to time (each an "Owner") hereby grants to the City, its employees, <br />agents and contractors, the right to enter onto the Property, upon reasonable prior notice to the then current <br />Owner of the Property (which notice may be directed to the public generally, or to property owners in the area <br />of the Property, rather than specifically to the Owner of the Property), not more frequently than twice in any <br />calendar year except in the case of an emergency, for the sole purpose of flushing and maintaining hydrants, <br />exercising valves and inspecting and pressure testing other elements of the System to ensure that the System is <br />in proper working order. Such entry shall be at the City's sole cost and expense and at the City's sole risk and at <br />no cost to Owner, it being understood that no Owner shall bear any responsibility or liability whatsoever for <br />
