(c) exercise any remedies available to the Trustee under the Lease or any other <br />Collateral Document. <br /> <br /> In the event of a sale under this Indenture, whether by virtue of judicial proceedings or <br />advertisement or otherwise, the Trust Estate may, at the option of the Trustee, be sold as one <br />parcel and as an entirety or in such parcels, manner and order as the Trustee in its sole discretion <br />may elect. <br /> <br /> Notwithstanding the foregoing, the Trustee need not proceed upon any such wr/tten <br />request of the Bondholders, as aforesaid, unless such Bondholders shall have offered to the <br />Trustee security and indemnity satisfactory to it against the costs, expenses and liabilities io be <br />incurred therein or thereby. <br /> <br />Section 7.03 Intentionally Omitted. <br /> <br /> Section 7.04 Trustee May File Proofs of Claims. I2 case of the pendency of any <br />receivership, insolvency, liquidation, bankruptcy, reorganization, arrangement, adjustment, <br />composition or other judicial proceeding relative to the Issuer or the City or the property of the <br />Issuer or the City, the Trustee (irrespective of whether the principal of the Bonds shall then be <br />due and payable as therein expressed or by declaration or otherwise and irrespective of whether <br />the Trustee shall have made any demand on the Issuer and/or the City for the payment of <br />overdue principal or interest) shall be entitled and empowered, by intervention in such <br />'proCeeding or otherwise, <br /> <br /> A. to file and prove a claim for the whole amount of principal, premium, if <br />any, and interest owing and unpaid in respect of the Bonds then Outstanding and to file <br />such other papers or documents as may be necessary or advisable in order to have the <br />claims of the Trustee' (inclctding any claim for the reasonable compensation, expenses, <br />disbursements and advances of th~ Trustee, its agents and counsel) and of the <br />Bondholders allowed in such judicial proceedings, and <br /> <br /> B. to collect and receive any moneys or other property payable or deliverable <br />on any such claims and to distribute the same; <br /> <br />and any receiver, assignee, trustee, liquidatm;,'seques~rator or other similar official in any such <br />judicial proceeding is hereby authorized by each Bondholder to make such payments to the <br />Trustee, and, in the event that the Trustee shall consent to the malting of such payments directly <br />to the Bondholders, to pay to the Trustee any 'amount due to it for the reasonable compensation, <br />expenses, disbursements, and advances of the Trustee, its agents and counsel. <br /> <br />106 <br /> <br /> Section 7.05 _Application of Moneys. Ail moneys received by the Trustee pursuant to <br />any fight given or action taken under the provisions of this Indenture or any Collateral <br />Document, shall, after payment of the cost and expenses of the proceedings resulting in the <br />collection of such moneys, including any proceedings undertaken by the Issuer, and of the <br />expenses, liabilities and advances incurred or made by the Trustee or Issuer, and after such funds <br />shall have been applied as may be specifically required pursuant to this Indenture Or the <br />Collateral Document (e.g., to the restoration and replacement of any port/on of the Project <br />following casualty thereto or other loss thereof, as described in Section 6.6 of the Lease), and <br /> <br />1763903 v I 3 6 <br /> <br /> <br />
