(7) Any demand, request, direction, appointment, removal, notice, consent, <br />waiver or other action in writing delivered to the Trustee shall be deemed to have been <br />delivered to each such Co-Trustee or separate trustee. <br /> <br /> (8) Any moneys, papers, securities or other items of personal property <br /> received by any such Co-Trustee or separate trustee hereunder shall forthwith, so far as <br /> may be permitted by law, be turned over to the Trustee. <br /> <br /> (e) Upon the acceptance in writing of such appointment by any Co-Trustee or any <br />separate trustee, it, he or she shall be vested with such title to the Trust Estate or any part thereof, <br />and with such rights, powers, duties a_nd obligations, as shall be specified in any instrument of <br />appointment jointly with the Trustee (except insofar as local law makes it necessary for any such <br />Co-Trustee or separate trustee to act alone) subject to all the terms of this Indenture. Every such <br />acceptance shall he filed witl-t the Trustee. An7 Co-Trustee or separate la-~tee may, at any time <br />by an instrument in writing, constitute the Trustee, such Co-Trustee's or separate trustee's <br />attorney-in-Fact and agent, with full power and authority to do all acts and things and to exercise <br />all discretion on such Co-Trustee's or separate trustee's behalf' and in such Co-Trustee's or <br />separate tmstee's name. <br /> <br /> (f) . In case any Co-Trustee or separate trustee shall die, become incapable of acting, <br />resign or be removed, the title to the Trust Estate, and all rights, powers, trusts, duties and <br />obligations of said Co-Trustee or separate trustee shall, so far as permitted by law, vest in and be <br />exercised by the Trustee unless and until a successor Co-Trustee or separate Trustee shall be <br />appointed in the manner herein provided. <br /> <br /> Section 8.19 .Appointment of Successor or Alternate Paying Agents. In the event the <br />initial Trustee shall also have'been appointed paying agent for the Bonds, a successor Trustee <br />shall become successor paying agent with respect to such Bonds un/ess otherwise provided in the <br />insmmuent appointing such successor Trustee. If any paying agent other than the initial Trustee <br />shall resig-n or become incapable of acting, or shall be removed under a supplemental indenture <br />entered into pursuant to the terms hereof, the TrUstee may appoint a successor paying agent <br />which is a bank or trust company qualified to act as paying agent under the Act and which is <br />willing to accept the office on reasonable and customary terms approved by an Authorized Issuer <br />Representative. The Trustee may appoint successor paying agents. "Paying Agent" as used in <br />this Section refers to the bank or trust company named in the form of Bond provided.for ~e <br />Bonds in the recitals hereof, where principal of and interest on Bonds may be paid. <br /> <br />118 <br /> <br />1763903vl <br /> <br /> <br />
