(b) all costs and expenses of every nature incurred in constructing and furnishing the <br />Pro. iect Improvements and purchasing and installing the Project Equipment, including the actual <br />cost o t: labor, materials, machinery, furnishings and equipment as may be payable.to contractors, <br />builders and materialmen in connection with the construction, fignishing and equipping the <br />Pr(~iect; <br /> <br /> (c) the cost of any insurance and performance and payment bonds maintained during <br />construction of the Project; <br /> <br /> (d) expenses of administration, supervision and inspection properly chargeable to the <br />Project; underwriting expenses, legal fees and expenses, fees and expenses of accountants and <br />other consultants, publication and printing expenses and other fees and expenses which are <br />necessary or incidental and to the making of the Lease and the issuance of the Bonds or to the <br />acquisition, purchase, construction, installation; fi~niShing and equipping o_f the Project; <br /> <br /> (e) ali other items of expenses not elsewhere specified in this definition as may be <br />nec;essaw or incident to: (i) the making of the Ground Lease and this Lease; (ii) the construction, <br />instal, lation, equipping and furn/shing of the Project; and (iii) the £mancing thereof; <br /> <br /> (_F) reimbursement to Tenant or Landlord' or those acting for it for any °fthe <br />,~.bow:-enumerated costs and expenses incurred and paid by them before or after the execution of <br />thc Lease (subject to the compliance, if applicable, with the "reimbursement regulations," being <br />Treasury Regulations, Section 1.150-2); and <br /> <br />(g) any other costs of the Project described in Section 3.3. <br /> <br /> project Eqt!ipment: All items of machinery, equipment or other personal property <br />inst'aJled or acquired or to be acquired for installation in the Project Improvements or elsewhere <br />on the Land in accordance with the Plans and Specifications and paid for kn whole or in part from <br />the proceeds of the Bonds, and all replacements thereof and substitutions therefor made pursuant <br />to S~:ctions 6.6 or 8.5. <br /> <br /> PrQj¢ct knprovements: The buildings, structures, improvements and fixtures located on <br />or m be purchased, constructed, renovated, bettered, enlarged and otherwise improved on the <br />Land in accordance with the Plans and Specifications, and all additions, alterations, <br />modifications and improvements thereof raade pursuant to Sections 6.6 or 8.5, to be used by the <br />'['e~x~mt as a municipal center consisting of a city hail, administration, police and related parking. <br /> <br /> Purchase .Option Price: The price at which the Tenant may purchase the Project as set <br />forth in Section X. <br /> <br /> Rental Payment: The payment due from Tenant to Landlord prior to each Payment Date <br />during the Term of this Lease, as provided, for the Series 2005A Bonds, in Section 5.1 and <br />:~hown on the attactmd Exhibit B (assuming no prepayment or acceleration of the Series 2005A <br />Bonds), and exclusive of payments due under paragraphs (e) and (f) of Section 5.1, and without <br />giving effect to credits available under the section. ... <br /> <br />1763908v 1 5 <br /> <br />21 <br /> <br /> <br />
