ARTICLE VII

<br />OTHER OBLIGATIONS OF TENANT
<br />
<br /> Section 7.1. Use; Permits. Tenant shall exercise due care in the construction, use,
<br />operation and maintenance of the Project, and shall not install, use, operate or maintain the
<br />Project improperly, carelessly, in violation of any State and Federal Law or for a purpose or' in a
<br />manner contrary to that contemplated by this Lease. Tenant shall obtain (or cause to be
<br />obtained) all permits and licenses necessary for the construction, operation, possession and use
<br />of [he Project. Tenant shall comply with all State and Federal Laws applicable to the
<br />construction, use, possession and operation of the Project, and if Compliance with any such State
<br />amd Federal Law requires changes or additions to be made to the Project, such changes or
<br />a&liticns shall be made by Tenant at its expense ....

<br /> Section 7.2. Maintenance of Proiect by Tenant. Tenant shall, at its Own expense,
<br />maintain, preserve and keep the Project in good repair, working order and condition and shall
<br />£rom time to time make all repairs and replacements necessary to keep the Project in such
<br />condition. Landlord shall have no responsibility for any of these repaks or replacements.

<br /> Section 7.3. Taxes, Other Governmental Charges and Utility Charges~ Except as
<br />expressly limited by this section, Tenant shall pay (or cause to be paid) all taxes and other
<br />charges of any kind which are at any time lawfully assessed or levied against or with respect to
<br />thc. Project, or which become due during the Term of this Lease, whether assessed against Tenant
<br />or Landlord. Tenant shall also pay (or cause to be paid) when due ali gas, water, steam,
<br />electricity, heat, power, telephone, and other charges incurred in the operation, maintenance, use,
<br />occai~ancy and upkeep of the Project, and all special assessments and charges lawfully made by
<br />a~y governmental body fo;r public improvements that may be secured by a lien on the Project;
<br />provided that with respect to special assessments or other governmental charges.that may
<br />lawfully be paid in installments Tenant shall only be required to pay (or cause to be paid) such
<br />installments, dining the Term of this Lease as and when the same become due.

<br /> Tenant may, at its own expense and in its own name, in good faith contest any such taxes,
<br />assessments, utility and other charges and shall notify the Landlord of such good faith contest
<br />and, in the event of any such contest, may permit the taxes, assessments, utility or other charges
<br />st) contested to remain unpaid during the period of such contest and any appeal therefrom but
<br />o~fly if (1) nonpayment of any such items will not materially endanger the interest of Landlord in
<br />the Project, nor subject to loss or forfeiture the Project or any part thereof, and (2) Tenant files
<br />with the Trustee an opinion of Independent Counsel stating in effect that neither event will occur.
<br />if both conditions are not satisfied Tenant shall promptly pay such taxes, assessments, utility or
<br />other charges or provide Landlord with full security against any loss which may result from
<br />nonpayment, in form satisfactory to. Landlord.
<br />
<br /> Section 7.4. Advances. If Tenant shall fail to perform any of its obligations under this
<br />~'-h~ticte, Landlord may, but shall not be obligated to, take such action as may be necessary to cure
<br />~;tmh hilum, including the advancement of moneY, and Tenant shall be obligated to 'repay all
<br />such ~dvances on demand with interest from the date of the advance to the date of repayment.
