A facsimile, .pdf file or digital copy of a signed counterpart or of an <br />assemblage of counterparts of this Agreement shall be deemed to be an original thereof. <br />28. TIME PERIODS. The time for performance of any obligation or taking any action <br />under this Agreement shall be deemed to expire at 5:00 p.m. Central Time on the last day <br />of the applicable time period provided for in this Agreement. If the time for the <br />performance of any obligation or taking any action under this Agreement expires on a <br />Saturday, Sunday or legal holiday, the time for performance or taking such action shall be <br />extended to the next succeeding day which is not a Saturday, Sunday or legal holiday. <br />29. PLATTING & DEVELOPMENT AGREEMENT. Buyer must be in the process of <br />obtaining an approved final plat, development agreement, and building exterior visual <br />renderings with the City of Ramsey for its intended project before Closing. The <br />Development Agreement and Site Plan must comply with all local zoning ordinances and <br />design standards. <br />30. CONTINGENCIES. It is a condition of both Buyer and Seller's obligations under this <br />Agreement that Buyer must have closed on Outlot A, Alpha Development (the "Adjacent <br />Property") as shown on Exhibit B prior to or simultaneous with closing on the Property. <br />31. SIGNATURES. Seller hereby acknowledges and confirms that Seller has been apprised <br />of the corporate policy of Buyer to the effect that all contracts and contract amendments <br />entered into by Buyer regarding the purchase or development of land must be executed by <br />both (i) either the Region President, Region Vice President or Region Counsel and (ii) <br />another Vice President of Buyer, and Buyer shall not be bound under this Agreement unless <br />it has been so executed. <br />32. BLACKOUT PROVISION. Notwithstanding anything to the contrary set forth in this <br />Agreement, Buyer shall not be obligated to make any payment hereunder nor shall Buyer <br />be obligated to close on the purchase of the Property under this Agreement, at any time <br />during the last five (5) business days of the months of February, May, August or November <br />(each, a "Blackout Period"). Any payment that would otherwise be due during a Blackout <br />Period shall be due and payable on the third (3rd) business day after the applicable Blackout <br />Period.
