EXHIBIT A — Commission Schedule <br />A. 3a/e. Aatosales ofreal property, CBRE'scommission shall befive percent (596)ofthe gross sales price. <br />If a cooperating broker or salesperson procures the sale, the commission will be seven percent (7%) of the <br />Qmoa sales price. Gross sales pho* shall include any and all consideration received or naceivab|e, in <br />whatever form, including but not limited to assumption or release of existing liabilities. In the event this ao|e <br />is inconnection with a"build tosuit" transaction, the commission shall be calculated onthe gross sales <br />phoo plus the Omao construction cost of the building to be constructed on the Property. The commission <br />shall be earned and paid on the date title to the Property is transferred to the purchaser; provided, however, <br />that if the transaction involves an installment contract, then payment shall be made upon execution of such <br />contract. |nthe event you contribute orconvey the Property urany interest therein to uorporation, joint <br />mantuna, partnership, or other business enthy, the commission shall be calculated on the fair market value <br />of the Property or the portion thereof that is so tranohsmsd, and shall be earned and paid at the time of the <br />contribution or transfer. If you are a partnamhip, corpmration, orother business entih/, and an interest in the <br />portnerahip, corporation orother business entity is transferred, whether by merger, outright purchase or <br />otherwise, in lieu of a sale of the Property, and applicable law does not prohibit the payment of a commission <br />in connection with such sale or transfer, the commission shall be calculated on the fair market value of the <br />Property, rather than the gross sales price, multiplied by the percentage of interestootransferred, and shall <br />bepaid at the time ofthe transfer. <br />1Definitions. Under this Agreement the terms "sell," "sale" or "sold" shall r-nean: (a) an exchange of <br />the Property; (b) the granting of an option to purchase the Property; or (c) any other transfer, <br />conveyance or contribution ofecontrolling interest in the Property or in the entity which owns the <br />Pn»perty, induding, but not limited to, situations where you are uoqponsdon, partnership orother <br />business entity and auontroUing interest in such coqporation, partnership orother business entity <br />in tnansfened, whether by merger, outright purchase or otherwise, in lieu of ao|e of the Property. <br />2. Option to Purchase. If you grant an option to purchase the Pvoperty, you agree to pay us o <br />commission in accordance with this Commission Schedu|e, on the price paid for the option and for <br />any extensions when you receive payment for any such option and/or extensions. If the option is <br />exeoiaed, whether during the Term or after, we will earn o further commission in accordance with <br />this Agreement, Notwithstanding the foregoing, to the extent that all or part of the price paid for the <br />option orany extension thereof is applied to the sales price of the Proporty, then any commission <br />previously paid by you to us on account of the option payments will be credited against the <br />commission payable touoonaccount ofthe exercise ofthe option. <br />3. Broker (CBRE) shall receive a minimum fee based on a sales price of $1.50 per gross SF for the <br />sale of any industrial or office land and a minimum fee of $5.000.00 for the sale of any residential <br />parcel of land $5.00O.00for the sale of any residential parcel of land greater than $45.000; and, a <br />minimum fee of $3,500.00 for the sale of any residential parcel of land less than or equal to $45,000. <br />4, If a potential prospect/buyer is generated by the City of Ramsey with no prior contactor discussions <br />with/from CBRE than the -commission will be reduced to 396 of the gross sales price to calculate <br />commissions.
